BuildPanel Terms of Use and End-User License Agreement

These draft Terms of Use and End-User License Agreement (“Terms”) are between BuildPanel Technology Inc. (“BuildPanel,” “we,” or “us”) and anyone who accesses the BuildPanel website or is given access to BuildPanel Pricing (together, the “Services”). The website provides information about BuildPanel products, models, projects and ways to request an estimate. BuildPanel Pricing is a restricted-access business application for authorized BuildPanel personnel and approved distributors or business representatives.

Access to BuildPanel Pricing is permission to use the application for authorized BuildPanel business; it is not a transfer of ownership of the software. If you use the application on behalf of an organization, you represent that you are authorized to act for that organization within the scope of the access granted to you.

Website descriptions, drawings, images, specifications, availability, timelines and prices are general information and may change. A “Starting At” price or online estimate is not a binding offer or a guaranteed delivered, installed or project-total price. Scope, site conditions, taxes, delivery, permits, options and professional services may affect a project-specific quote.

Any sale, design service, manufacture, delivery or installation is governed by the separately agreed written quotation and signed project or purchase contract, if any. These Terms do not replace, amend or override those commercial terms. If there is a conflict about a project, the signed project agreement controls for that project.

Subject to these Terms and your continuing authorization, BuildPanel grants you a limited, non-exclusive, non-transferable, revocable license to access and use BuildPanel Pricing solely for legitimate BuildPanel business purposes within your assigned role. You may not share access with unauthorized persons, use another person’s account, reverse engineer or attempt to extract the application’s source code except where law prohibits that restriction, interfere with security or availability, scrape data without authorization, or use the Services unlawfully or to infringe another person’s rights.

BuildPanel may set or change role-based permissions. You are responsible for keeping your account credentials secure, using only approved connections, promptly reporting suspected unauthorized access, and ensuring that information you enter or connect is accurate to the best of your knowledge and that you have authority to provide it.

You retain your rights in information you submit. You grant BuildPanel a limited permission to host, use, reproduce and share that information as reasonably necessary to operate the Services, respond to requests, prepare estimates, administer customer or project records, and provide authorized integrations, subject to our Privacy Policy. Do not submit confidential information or personal information you are not authorized to provide.

BuildPanel Pricing may connect with third-party business services, including Intuit QuickBooks Online (“QBO”). Only an authorized account administrator should initiate or approve a QBO connection for the relevant company. Once authorized, the application may exchange permitted accounting and customer information according to the permissions granted and the application’s actual features. Intuit’s own terms and privacy practices also apply to its service. Disconnecting a service stops future access through that connection, subject to technical processing already underway; it does not automatically erase information already recorded in BuildPanel systems or accounting records that must be retained for legitimate business or legal reasons.

Third-party availability and functionality are outside BuildPanel’s control. BuildPanel does not make Intuit’s service or policies its own, and does not guarantee that an integration will be uninterrupted.

BuildPanel and its licensors retain all rights in the website, BuildPanel Pricing, software, designs, trademarks, text and other materials, except information you submit or rights expressly granted under a separate written agreement. No rights are granted by implication. Do not use BuildPanel’s name, marks or product materials outside the permissions granted to you.

We work to keep the Services useful and accurate but may update content, restrict access, perform maintenance or correct errors. Services may be temporarily unavailable. Users must verify important specifications, prices and accounting entries against applicable project documents and official books and records before relying on them. To the extent permitted by applicable law, the Services are provided without a promise that they will always be error-free or uninterrupted. Nothing here limits rights or remedies that cannot legally be excluded.

BuildPanel may suspend or end access if an account is no longer authorized, these Terms are breached, a security risk is detected, or continued access would be unlawful. An organization may request that its authorized users’ access be removed. When access ends, the license to use BuildPanel Pricing ends; obligations concerning ownership, permitted handling of previously submitted information, and applicable written agreements continue where appropriate. Ending access does not itself cancel a separately signed project contract or require deletion of records we must reasonably keep.

Canadian legal counsel should review this section before these Terms become effective. To the extent permitted by applicable law, BuildPanel is not responsible under these Terms for indirect or consequential losses arising solely from use of the informational website or the application, such as lost profits or interruption of business. BuildPanel’s responsibility for any project-specific work remains subject to its signed agreement and applicable law. These Terms do not exclude liability that cannot lawfully be excluded, including applicable statutory rights, fraud, or wilful misconduct. Any specific monetary liability cap should be determined by counsel and the parties rather than assumed by this draft.

Canadian legal counsel should confirm the appropriate province or territory, forum and any mandatory consumer protections before publication. Until those details are approved, this draft does not designate a particular court or province. Applicable Canadian law and any mandatory local protections continue to apply. A separately signed project contract may contain its own governing-law and dispute provisions for that project.

We may update these Terms and identify the new version and effective date on this page. Material changes affecting authorized BuildPanel Pricing users should be communicated through appropriate business channels. Questions about these Terms or application access may be sent to mike@buildpanel.com.
